Political Advocacy Service Descriptions and Additional Terms and Conditions

I. General:

A. Reference is made to the Master Subscription Agreement between Client and i360, entered into at the time Client created its Subscription Account (the “MSA”). All terms not otherwise defined in this Service Description and Additional Terms and Conditions document shall have the meaning ascribed to them in the MSA.

II. Services and Subscription Plans.

A. Client User Accounts.

Client is permitted to give its employees, staff, representatives, and volunteers (collectively referred to as “Personnel”) access to its Subscription Account. Client is responsible for the actions or omissions of its Personnel. Client will receive the following number of user accounts based on the Subscription Planit selects:

1. Per Record Plan:

5 user accounts

2. Base Plan:

10 user accounts

3. Text Only Plan:

10 user accounts

4. Any Client with Third-Party Users:

number of user accounts separately agreed to in a SOW.

B. Client Subscription Plan Options.

All Clients will receive access to the i360 Portal unless i360 Portal access is explicitly excluded on the applicable Order Form. Otherwise, the Services are limited to those selected by Client through the Order Form. In addition to access to the i360 Portal, Client will receive access to one of the below Subscription Plans based on Client’s selection on the Order Form. Client may change its Subscription Plan at any time via its Subscription Account, subject to i360’s approval, but changes to the Subscription Plan may not take effect for up to thirty days from the date Client requests such change. Additional Services may be selected for additional fees.

1. Per Record Plan

a. Per Record plan includes access to i360’s entire database of voter and consumer attributes through i360 Portal. Export and download unlimited lists and records on a per record basis at the agreed upon rate. This product may be subject to usage-based fees.

2. Base Plan

a. i360 Base Plan includes full access to i360’s comprehensive voter and consumer data for your geography and access to the i360 Portal, an action management platform to manage contacts in a single closed-loop data management system. Grassroots Dashboards allow real-time updates of door and call volume visualized in an interactive display in the i360 Portal.

III. Description of the Political Advocacy Services.

A. Generally:

The following i360 Services are provided to assist Client in its political or advocacy purposes (“Political Advocacy Services”).

B. Data.

1. i360 Voter & Consumer Data.

a. Data and i360 Portal.

i. i360 will provide Client with access to targeted records of voters and consumers from i360’s data warehouse for the purposes of strategy formation, analysis, and direct contact. Records made available to Client may be at the individual, household, or aggregate level and may include name, mailing address, and phone data points.

ii. Records will be made available to Client through the i360 Portal. Client is prohibited from downloading data for transmission to a third party, such as digital platform or digital ad buyer, or consultant, without the prior written authorization of i360.

iii. i360 will provide Client with a stand-alone instance of the i360 Portal, i360’s action management and grassroots management software. Client will be allowed to search, manage, import, export, and analyze data using the i360 Portal. Client’s instance of the i360 Portal will be set up in an isolated, siloed database, exclusive to Client but linked to the i360 data warehouse. i360 will provide necessary service and help desk functionality to support users of the i360 Portal.

iv. Client assumes all risks of, or relating to, use of the i360 Portal, including use of the i360 Portal that creates errors in the Services. Client shall permit only trained personnel to utilize the i360 Portal and shall monitor the use of the Services for compliance with this Order Form and the Agreement. Client agrees to notify i360 of any difficulties or concerns related to the i360 Portal or the Services. Client acknowledges that, as stated in the Agreement, i360 owns the Services and the Agreement limits Client’s use of the Services.

b. Email Appends.

At Client’s request, i360 will append email addresses from the i360 data warehouse to records provided by Client (“Email Appends”). The minimum order for Email Appends is 10,000 email addresses. Client acknowledges that the price per email address accounts for the standard 10-15% bounce back rate after the initial permission pass email is sent out. Therefore, once the records are delivered to Client, i360 is not responsible for emails that bounce back. This product may be subject to usage-based fees.

c. Reverse Email Appends.

At Client’s request, i360 will append data from the i360 data warehouse to email address records provided by Client (“Reverse Email Appends”). This product may be subject to usage-based fees.

d. Data Storage.

At the request of the Client, i360 will store all “Client-specific Data” in Client’s stand-alone instance of the i360 Portal (“Data Storage”) at the Data Storage subscription rate displayed in the Order Form. Client will be provided one i360 Portal user account to access this data during the Data Storage period. “Client-specific Data” means Client Data that Client has imported or collected through the Services, including imports, tags, and grassroots ID work. In the event Client’s Subscription Account is terminated for any reason without Client first entering into Data Storage may result in a permanent loss of Client’s “Client-specific Data”.

2. i360 Models

a. i360 Standard Models.

i360 will provide Client all then-available standard i360 models and provide model scores associated with individual records in the i360 data warehouse (the “i360 Standard Models”).

b. i360 Advanced Models.

i360 will provide Client all then-available advanced i360 models and provide model scores associated with individual records in the i360 data warehouse (the “i360 Advanced Models”).

c. Essential Models.

i360 will provide Client with the i360 Political Affinity and Propensity models (the “Essential Models”).

3. Individual Model Add On.

Client may choose to add individual standard or advanced models to their subscription. Each model add on includes one individual i360 model of Client’s choice.

4. i360 Donor Model.

i360 may determine in its sole discretion to make i360 Donor Model available to Client in the future. If provided, the following terms will apply:

a. i360 will provide Client access to model scores as available indicating the likelihood that a person will donate to a political candidate, political party, or political cause (“i360 Donor Model”) on a per record or subscription basis as indicated on the relevant Order Form. i360 Donor Model scores do not incorporate data from FEC fundraising reports. This product may be subject to usage-based fees.

C. Tools.

1. i360 Walk.

a. i360 will provide Client with access to i360 Walk, a mobile canvassing app, to conduct surveys for the purposes of advocacy, turnout, GOTV, and other political purposes. Client will be able to create and manage surveys using its i360 Portal user accounts. Records will be made available to Client through the i360 Portal as they are downloaded and moved into the i360 Portal or imported into the i360 Portal.

b. Client is permitted to give its Personnel access to use i360 Walk so long as Client ensures that the Personnel are aware of the Agreement and Client is solely responsible for the Personnel’s use of i360 Walk and any of the Services.

c. i360 will provide access to surveys.

Client is solely responsible for the survey content, questions, and answers. Client is solely responsible for all purchases and fees associated with the purchase or use of the devices used for i360 Walk.

2. i360 Call.

a. i360 will provide Client with access to i360 Call, calling software that includes a predictive dialer for landlines and mobile devices, and i360 Call’s web application, to conduct phone surveys with individuals in predefined universes. i360 Call will be linked to Client’s instance of i360 Portal.

b. Client is permitted to give its Personnel access to use i360 Call so long as Client ensures that the Personnel are aware of the Agreement and Client is solely responsible for the Personnel’s use of i360 Call and any of the Services.

c. i360 will provide access to surveys.

Client is solely responsible for the survey content, questions, and answers. Client is solely responsible for all purchases and fees associated with the purchase or use of the devices used for i360 Call.

d. Usage of i360 Call is subject to per minute rates, nominally $0.045/minute unless otherwise agreed to in the Order Form or separate SOW. This product may be subject to usage-based fees.

3. i360 Text.

a. i360 will provide Client with access to i360 Text, which is a peer-to-peer communication tool for field staff and organizers to reach and build relationships with voters through manually placed text messages. Before using i360 Text, Client shall review the i360 Text User Guide found at https://help.i-360.com/hc/en-us/articles/360042334234-i360-Text-User-Compliance-Guide and ensure that all Personnel review the i360 Text User Guide before using i360 Text.

b. Usage of i360 Text is subject to the per send rates outlined below unless otherwise agreed to in the Order Form or separate SOW.

i. SMS, which permits up to 320 characters per send: rate agreed-upon in Order-Form.

ii. MMS, which permits up to 800 characters per send: additional $0.03/send on top of agreed-upon SMS rate.

iii. Full-Service Texting: additional $0.04/send on top of agreed-upon SMS/MMS rate.

4. i360 Action.

i360 will provide proprietary activist and volunteer software and outreach tools through the i360 online activist platform (“i360 Action”) to Client. i360 Action includes petitions, calling from home, events, and surveys. i360 will provide Client with access to i360 Action and training so that Client may develop and implement its own website.

5. i360 Vote.

i360 will provide outreach tools through the i360 online absentee and early voting identification platform (“i360 Vote”) to Client. i360 Vote includes absentee ballot/early voting identification tools. i360 will provide Client with access to i360 Vote and training so that Client may integrate i360 Vote into its own website. Access to i360 Vote is subject to availability.

6. i360 Connect.

i360 will provide Client with outreach tools to officials through i360 Action for the purposes of assisting Client in its advocacy efforts (“i360 Connect”). i360 will provide Client with training on the use of i360 Connect.

7. i360 Send.

i360 may determine in its sole discretion to make i360 Send available to Client in the future. If provided, the following terms will apply:

a. i360 will provide Client with access to i360 Send to send emails to Client’s chosen recipients (“Client Email(s)”). i360 Send is an email delivery platform for i360 Portal users to distribute Client Emails. Client will be able to create and manage email campaigns, in addition to related management features, via the i360 Portal.

b. Client is permitted to give its Personnel access to use i360 Send if Client ensures that the Personnel are aware of the Agreement and Client is solely responsible for the Personnel’s use of i360 Send and any of the Services.

c. Client shall review and ensure that its users review and comply with the i360 Send Best Practices Guide, located online at the i360 Help Center. The i360 Send Best Practices Guide is provided for informational purposes and does not take precedence over the Agreement.

d. This product may be subject to usage-based fees.

D. Support.

1. i360 Help Center and i360 Training Center.

i360 will provide Client with access to the i360 Help Center, which will be made available at all hours through the i360 Portal or at help.i-360.com. i360 will provide Client with access to the i360 Training Center, which will be made available at all hours through the i360 Portal or at training.i-360.com.

2. Chat and Email Support.

i360 will provide Client with chat support, which will be made available during regular business hours through the chat feature in the i360 Portal. Hours of availability may change throughout the year. i360 will provide Client with email support, which will be made available during regular business hours through the support ticket submission widget in the i360 Portal and through [email protected].

3. Basic Onboarding. i360 will provide Client with Basic Onboarding, which includes:

a. Access to the i360 Help Center and i360 Online Training Center, made available within the i360 Portal.

b. Outside list integration at the time of setup.

c. Two (2) hours of “Ongoing Support” per month (Ongoing Support is i360 Portal training and other support to help Client use the Portal, and i360’s tools in the most effective way).

4. Pro Support. i360 will provide Client with Pro Support, which includes:

a. Phone Support. i360 will provide Client with Phone Support, which includes:

i. Access to i360’s Client Services team for phone or webinar support upon request, up to 2 hours per month, subject to availability. Phone support is subject to regular business hours and may change throughout the year.

E. Analytics.

1. Grassroots Dashboards.

i360 will provide Client with i360’s Grassroots Dashboards. Grassroots Dashboards include Daily Toplines and Grassroots View.

2. Performance Dashboards.

i360 will provide Client with i360’s Performance Dashboards. Performance Dashboards include Performance Check and Survey Progress.

3. AB/EV Dashboard.

i360 will provide Client with i360’s Absentee and Early Vote Dashboards (the “AB/EV Dashboard”). Absentee and early vote data is subject to availability and may not be available in all jurisdictions. i360 relies on the election authority in each jurisdiction for absentee and early vote data and cannot guarantee the accuracy of the data those authorities provide.

4. Custom Dashboards.

i360 will provide custom dashboards on Client’s i360 Portal instance using data aggregation, synthesis, and custom visualizations.

5. Analytics Consulting.

Using the i360 data warehouse, i360 will provide Client with analytics consulting. “Analytics Consulting” is a Service to help Client implement its data, analytics, and other strategies. Analytics Consulting will include collaboration between Client’s account manager and i360’s analytics experts. i360 may provide information in writing or orally to Client regarding Analytics Consulting and other Services available to i360 clients. The information will be tailored to Client’s data and data analytics needs. Information provided in writing to Client may include a report with recommendations for i360’s products and services that i360 believes would be valuable to Client. Any information provided orally to Client is intended to facilitate written consulting Services or analytics Services or both, and such oral information is nonbinding on both Parties.

6. Data Services Projects.

At clients request and i360’s discretion, i360 will provide data acquisition, extraction, transformation, loading, and matching services at a rate of $200/hour unless otherwise agreed upon.

7. Developer and Data Operations Projects.

At clients request and i360’s discretion, i360 will provide software and API development services at a rate of $250/hour unless otherwise agreed upon.

8. i360 Deep Dive.

i360 will review past election results, demographic data, the existing voter file, and the i360 models to provide an analysis for the geography provided by Client upon request (the “i360 Deep Dive”). The i360 Deep Dive will include projected turnouts, projected vote goals, data simulations, suggested target universes through i360 Portal, and regional breakdowns of voters. i360 Deep Dive may also include other information as mutually agreed to by the Parties. Clients with a geography of 250,000 voters or less will receive one general election Deep Dive. Clients with a geography of more than 250,000 voters will receive up to two general election Deep Dives.

9. i360 Planner.

i360 will provide proprietary voter contact planning software through the i360 Portal to Client to include volunteer shift planning, key performance indicators, and goal versus actual tracking. i360 will provide proprietary grassroots and voter contact software through the i360 online walkability analytics platform to Client. i360 Planner includes proprietary clustering software, volunteer planning tools, and volunteer shift building software. i360 will provide Client with access to i360 Planner Tool and training.

F. Additional Services.

i360 may provide additional Services not described in this Order Form for additional Fees. The Parties will mutually agree to such additional Services in a subsequent Order Form or SOW.

IV. Additional Terms and Conditions Applicable to Political Advocacy Services

A. Generally:

1. Client shall use the Political Advocacy Services only for political or advocacy purposes. Client is prohibited from using the Political Advocacy Services for commercial purposes or any other purpose prohibited by Law.

2. Unless otherwise agreed to by i360 in writing, Client shall not provide i360 Data directly to any Third-Party users, including but not limited to congressional and senatorial campaigns, but instead Client shall refer them directly to i360.

3. Firewall Policy.

To facilitate the Political Advocacy Services, certain i360 policies, including the i360 Firewall Policy, are available for Client’s review upon request.

B. Compliance with Telecommunications Laws.

1. Generally.

i360 does not give legal advice. Client is solely responsible for its use of i360 Call and i360 Text (collectively referred to as the “Communication Services”). Therefore:

a. Client shall monitor the use of the Communication Services for compliance with this Order Form, the Agreement, and Law.

b. Client shall permit only trained personnel to use the Communication Services (e.g., organize and initiate phone surveys on i360 Call, create text messaging actions through i360 Text, etc.).

c. Client shall notify i360 of any difficulties or concerns about any element of the Communication Services.

d. Client is solely responsible for all purchases and fees associated with the purchase or use of devices used for the Communication Services.

e. Client is solely responsible for the content of any messages communicated using the Communication Services.

2. i360 Call.

a. Client acknowledges that federal and state Laws regulate the use of predictive dialers, automated dialing and announcing devices, and related automated telecommunications equipment (collectively referred to as “ADAD”). Because the i360 Portal system permits Client to control the use of i360 Call, Client assumes sole responsibility for calls made using i360 Call, even if i360 personnel participate in the training and use of the i360 Call. Client shall ensure that its Personnel and any person using i360 Call through Client’s access to the i360 Call learn about and comply with all applicable state and federal statutes governing ADAD. This includes the federal prohibition against using ADAD to contact cell phone numbers.

b. Client recognizes that it may be subject to specific Laws relating to the use of ADAD.

Client shall learn about and comply with all such Laws, whether or not i360 has provided information about such Laws. Client acknowledges that it is the operator of i360 Call and therefore is responsible for compliance, including registering with the appropriate state authorities; limiting calling hours; and using appropriate disclaimer messages.

3. i360 Text.

a. Client shall review and ensure that its users review and comply with the i360 Text User Guide. The i360 Text User Guide is provided for informational purposes and does not take precedence over the Agreement. Before using i360 Text, Client shall review the i360 Text User Guide found at https://help.i-360.com/hc/en-us/articles/360042334234-i360-Text-User-Compliance-Guide and ensure that all Personnel review the i360 Text User Guide before using i360 Text.

b. Client recognizes that there are federal and state Laws relating to the use of text messaging. Client shall learn about and comply with all such Laws, whether or not i360 has provided information about such Laws. Client acknowledges that it is the operator of i360 Text and therefore is responsible for compliance, including using appropriate disclaimer messages.

C. Compliance with Applicable Email Law.

1. Email Recipients.

Client shall ensure that the intended recipients of Client Emails (the “Email Recipients”) have: (i) opted-in to receiving Client Emails and (ii) opened or clicked an email from Client in the past 180 days. Client shall immediately notify i360 if it believes any of the Email Recipients do not meet the criteria stated herein.

2. General Requirements Related to i360 Send.

i360 does not give legal advice. Client is solely responsible for its use of i360 Send. Therefore:

a. Client shall monitor the use of i360 Send for compliance with (1) the Agreement, and (2) the U.S. CAN-SPAM Act, established acceptable conduct standards provided by any internet service provider, and all other Law.

b. Client shall permit only trained personnel to use i360 Send.
c. Client shall notify i360 of any difficulties or concerns about any element of i360 Send.

d. Client is solely responsible for all purchases and fees associated with the purchase or use of devices used for i360 Send.

e. Client is solely responsible for the content of any messages communicated using i360 Send.

f. Client shall not use i360 Send in a manner that damages, disables, or overburdens i360 Send.

g. Client shall not engage in any malicious practices such as automating tasks that infringe on the rights of any third party, sending chain emails, or flooding a user or site with large or numerous emails.

3. Format and Content of Communications Sent Using i360 Email.

Client shall ensure that its communications sent through i360 Send:

a. Clearly identify Client as the sender of Client Emails and include Client’s name and address in each Client Email.

b. Include unsubscribe instructions that provide:

(1) the email address to which Client Email was sent, (2) Client’s name; and (3) an internet-based mechanism that is operable for at least thirty days following the applicable Client Email.

c. Appropriately identify the subject of Client Email and do not use intentionally misleading subject lines.

d. Include accurate header and transmission information, including email headers, Client’s return address information, and IP address.

4. Unsubscribe Requests.

If any Email Recipient unsubscribes from Client Emails or otherwise requests that Client remove the Email Recipient from Client’s list of email recipients and/or stop emailing the Email Recipient, then Client shall honor the request within ten days.

D. Compliance with Laws Surrounding Use of Voter Data.

1. Client acknowledges that each state has different laws and regulations that govern how the Client can use data obtained from the voter files of each state.

2. Client understands that the data files within i360’s Political Advocacy Services contain fields of data that were obtained from the voter files of the various states.

3. For use in Minnesota or Pennsylvania:

Client understands that some of the data contained in i360’s database was obtained from public information lists. As such, Client agrees that this information will not be used for purposes unrelated to elections, political activities, or law enforcement.

4. For use in Utah:

Client agrees that any use of voter birth years contained in the data will only be used for political purposes.

5. Client understands that i360 does not give legal advice.

Client is solely responsible for its use of the data within i360’s Political Advocacy Services. Therefore:

a. Client shall, prior to using any data contained within Political Advocacy Services, consult with its own independent legal counsel to confirm any use if the data comports with the specific requirements and regulations of each respective state.

b. Client represents to i360 that it will not use any data contained within i360’s Political Advocacy Services for any commercial purpose.

c. Client represents to i360 that it will only use the data contained within Political Advocacy Services for political or electoral purposes. Client understands that each state has a different definition of what constitutes political or electoral purposes and that it has conferred with independent legal counsel to confirm that its use comports with applicable state laws.

d. Client will comply with all applicable laws that govern the use of voter file data.

e. Client agrees to notify i360 in writing within 72 hours of becoming aware of any data usage that violates any applicable law.

6. Client understands and agrees that any use of data contained within Political Advocacy Services in a manner that is inconsistent with applicable laws may, at the sole discretion of i360, serve as grounds for immediate termination of Client’s ability to use any of i360 services.
